Commercial Finance:

We regularly represent banks, investment banks, insurance companies, and other institutional and private equity source lenders and financiers in connection with all types of corporate financing including term loans, revolving credit loans, mezzanine financing transactions, accounts receivable and asset based lending, inventory and equipment financing, letters of credit, and other types of secured and unsecured transactions. Independently or in conjunction with the foregoing we routinely close leveraged financings and corporate buy outs and mergers by coordinating our various practice areas to achieve the best results. Recent transactions include the closing of a syndicated finance transaction with multiple institutional lenders, a leveraged finance transaction, a revolving credit and term loan financing.

Real Estate Finance:

Our representation of real estate lenders includes construction, interim and permanent financing of office buildings, shopping centers, apartment buildings, and multi-use, single-family, condominium, and cooperative developments. The firm also acts as counsel to lenders in sale leaseback transactions, industrial bond financings, industrial development agency letter of credit enhanced financings, industrial development straight lease transactions, and in connection with mortgage loans to religious and non-profit institutions. When representing borrowers, many major area developers and owners of all types of properties count our expertise to structure and close their financings. Recent transactions include the construction and conversion to permanent financing of a major warehouse project, bridge financing covering a large multi tenanted shopping center, permanent financings on numerous business properties and multiple condominium apartment construction projects in New York City.

Loan Restructures and Workouts:

We represent and advise our lending and financial industry clients in negotiating and documenting loan workouts and restructures in troubled credit situations. We use our vast experience to first review and analyze existing documentation and then to offer creative and viable suggestions as to alternative structures, sources of additional collateral to provide streamlined and innovative solutions. We work with work out and restructure agreements, amendments to existing documentation, supplemental agreements and forbearance agreements as necessary and relying on our experience to achieve the client's objectives in the most expeditious and cost effective way. When necessary, we pursue deeds-in-lieu of foreclosure, consensual and nonconsensual foreclosures, and structured and restructured repayment plans. Through our litigation attorneys, we advise and represent our lending clients in bankruptcy proceedings and support our clients in structuring and implementing planned and contested bankruptcy reorganizations and liquidations, documenting and managing the event to assure the greatest recovery. On the workout side, recent successes include the restructure of multiple financing transactions including the amendment and restructuring of several mortgage loans on condominium projects, the restructuring of several middle market loans with asset based collateral, various restructures and amendments to existing bank financings in respect to pricing and covenant amendments, many times obtaining of supplemental and additional collateral in a timely and expedited fashion, and in all cases, assuring a continuing conforming asset which now meets the institutions credit requirements
